For many years The Society contemplated the option to register as a Section 21 Incorporated Company as prescribed under the Companies Act. This simply provides the flexibility to become a legal entity, separate from the individual members that provides certain benefits to its members in terms of the law.

On 18 November 2016, The Society for CDT had been registered as a Non-Profit Company and certificates of incorporation issued by the Commissioner of Companies and Intellectual Property Commission at the Department of Trade and Industries (dti), in terms of the Companies Act, 2008. As the voice for CDT in South Africa, the primary purpose of the SCDT remains to be an Advocacy NGO; to promote the cause of Clinical Dental Technology (Denturism) and to establish the profession in South Africa. 

This simply means that we have become a legal entity, separate from the individual members that provides certain benefits to our members in terms of the law. Registration under this Act provides protection to Executive members during the execution of their duties towards reaching the goals and objective of The Society. Although non-profit companies may engage only in very limited political advocacy, advocacy efforts may occasionally draw a non-profit company into an unwanted lawsuit. Incorporating can support directors and officers in defending the lawsuits and protect them from personal liability. 

A non-governmental organization (NGO) is a not-for-profit organization or charity, which are usually funded by donations but some avoid formal funding altogether and are run primarily by volunteers. Individual Executive members shall not personally be held liable to debts and liabilities and certain other charges of the Association. Furthermore, The Society is a non-profit generating entity and all amounts of money accrued through membership subscription, grants, donations, and service rendered belong to the Association, and can only be used towards achieving the objectives of the Association. The Incorporators appointed in terms of section 66(7)(b) of the Companies Act as Initial Directors are:

The Registration Certificate, Notice of Incorporation and the Memorandum of Incorporation issued by the Commissioner of Companies and Intellectual Property Commission at the Department of Trade and Industries (dti), together with the Minutes of the inaugural meeting of the Incorporators and the annual audit of our Accounting, are kept on file by the Secretariat and is available for inspection by members of the SCDT.
